TERMS AND CONDITIONS
(For Legal Entity Clients Having Concluded a Service Agreement with the Seller)

1. GENERAL PROVISIONS
1.1. These purchase–sale terms and conditions (hereinafter – “Terms”) establish the conditions for purchasing goods from the Seller by legal entities (hereinafter – “Buyer”) who have entered into a separate service agreement with the Seller.
1.2. The service agreement with the Buyer is concluded individually, and login credentials to the online store are provided only after the agreement is signed.
1.3. These Terms are an integral part of the service agreement and apply to all orders placed through the Seller’s online store. All provisions of these Terms shall apply unless they contradict the provisions of the separately concluded service agreement. In case of discrepancies, the provisions of the service agreement shall prevail.
1.4. The Seller reserves the right to change the Terms at any time by notifying the Buyer via the contact email address provided.
1.5. The Seller operates only within the territory of the Republic of Lithuania.
1.6. Only legal entities or their authorized representatives with a valid agreement with the Seller are allowed to use the online store.

2. DATA PROTECTION
2.1. The Buyer must provide the following legal entity data: company name, company code, VAT number (if applicable), registered office address, contact person's name and surname, phone number, and email address.
2.2. Personal data is processed in accordance with the GDPR and only for the purpose of fulfilling orders and providing services as per the agreement.
2.3. The Seller has the right to use the Buyer's contact details for informational and commercial notifications unless the Buyer opts out.

3. CONCLUSION OF THE AGREEMENT
3.1. An order is considered a concluded agreement from the moment it is confirmed in the online store.
3.2. Each order is registered and stored in the system as a basis for purchase–sale relations under the service agreement.

4. BUYER’S RIGHTS AND OBLIGATIONS
4.1. The Buyer is obliged to:
provide accurate data;
pay for orders on time;
accept the goods in accordance with the specified procedure.
4.2. Unilateral withdrawal from the agreement is not applicable, unless expressly provided by the laws of the Republic of Lithuania.

5. SELLER’S RIGHTS AND OBLIGATIONS
5.1. The Seller has the right to:
cancel unpaid orders;
temporarily suspend operations due to technical or other reasons;
change delivery terms by informing the Buyer.
5.2. The Seller undertakes to:
deliver goods within the period specified in the agreement;
comply with data protection requirements;
notify the Buyer of any changes or product shortages.

6. PRICES AND PAYMENT
6.1. All prices are indicated in euros including VAT.
6.2. Payment is carried out in accordance with the provisions of the separately concluded agreement or the issued invoice.

7. DELIVERY
7.1. Delivery is carried out only within the Republic of Lithuania.
7.2. The Buyer must specify the exact delivery location and ensure the acceptance of the goods.

8. WARRANTY AND RETURNS
8.1. The Seller provides a product quality warranty in accordance with applicable laws and manufacturer documentation.
8.2. Returns are accepted only in cases of defective or incorrectly delivered products. Returns of quality products are possible only by mutual agreement.

9. LIABILITY
9.1. Each party is liable for the non-performance or improper performance of its obligations.
9.2. Only direct losses shall be compensated.

10. COMMUNICATION
10.1. All communication between the parties shall be carried out via email or other methods specified in the agreement.
11. FINAL PROVISIONS
11.1. These Terms are an integral part of the service agreement.
11.2. Lithuanian law shall apply to these Terms.
11.3. All disputes shall be resolved through negotiations, and if not successful, in the courts of the Republic of Lithuania based on the Seller’s registered office location.
